Our mergers and acquisitions practice group encompasses all aspects of this rapidly changing field, including the formulation of strategies for acquisitions, private transactions, stock-for-stock acquisitions, spin-off transactions, and acquisitions of minority interests. It involves the representation of clients in many different industries, including both buyers and sellers of private or public companies.

We assist clients in the development and implementation of acquisition and divestiture strategies, including consolidations. Our attorneys have actively participated in public and private, large and small acquisitions. We are also experienced in structuring and implementing anti-takeover mechanisms for both public companies and companies considering going public.

We have structured acquisitions and dispositions, arranged financing, performed due diligence and negotiated engagement agreements with brokers and investment bankers, provided confidentiality letters, letters of intent and incentive compensation agreements, as well as basic acquisition agreements.

To the extent requested by the client, mergers & acquisitions transactions can involve a comprehensive due diligence investigation of the target company. Our attorneys are able to draw upon their experience in concentrated areas as appropriate to help the clients both assess the target company's legal value and properly structure the transaction.
