Privatization

Advised the state owned mail services company in the privatization of a company in which the client acted as major shareholder, holding 80% of company’s shares, by structuring the entire privatization process, including the preparation of bid documentation, counsel on the transfer of shares and the negotiation of the transaction terms and post-closing conditions. The privatization was awarded for EUR 12 million.
Advised an international consortium, leading food group, in the preparation of the necessary documentation for the privatization of a major company acting in the meat industry, including preparing the technical and the financial offer, conducting due diligence investigations and providing reports on corporate and other legal issues related to the latter, in view of the its intended acquisition from APAPS.
Advised the leading producer of fertilizers in South East Europe by drafting all the necessary legal documentation for the privatization of a state-owned company, the largest Romanian fertilizer company, including preparing the technical and financial offer to be submitted to APAPS in the name of the client, in view of the intended privatization.
Advised APAPS in the privatization process of a Romanian state-owned company, a leading tractors and spare parts producer, by conducting the legal due diligence investigations with a focus on the corporate matters and recommending scenarios for the company’s restructuring.
Acting in consortium with a major investment banking company, advised APAPS on all legal matters concerning the privatization of a Romanian rail car manufacturer under the World Bank PSAL 1 Program.
